Effective Date: October 08, 2024
Caverly Digital Marketplace ("we," "our," or "us") may offer services that involve hiring freelancers, developers, or service providers through our platform. These Any-Hire Terms and Conditions govern the relationship between users who hire (“Client”) and those who are hired (“Service Provider”) via our platform. By engaging in any hiring activity on Caverly Digital Marketplace, you agree to the terms outlined below.
1. Scope of Services
The Any-Hire option allows Clients to hire Service Providers for tasks related to digital products, such as custom website development, script modifications, logo design, or other digital services. The agreement between the Client and Service Provider is facilitated by Caverly Digital Marketplace, but the terms and fulfillment of the service will be negotiated directly between the parties involved.
2. User Responsibilities
Clients: Clients are responsible for clearly defining the scope, requirements, and deadlines of the hired service. Payments for services will be handled based on the agreement with the Service Provider, and Clients must make timely payments upon completion of the work.
Service Providers: Service Providers agree to deliver the agreed-upon services according to the specifications, quality, and deadlines set forth in the agreement with the Client. All work should be original and not infringe on any third-party rights.
3. Platform Fees and Payments
Caverly Digital Marketplace may charge a facilitation or service fee for providing the Any-Hire option. This fee structure will be clearly communicated at the time of hire. Payment terms (once payments are operational) will include the following:
4. Project Completion and Disputes
Completion: Once the Service Provider delivers the work, the Client must review and approve the project within the specified time frame. If no response is received from the Client within the agreed-upon period, the work may be considered complete.
Disputes: If a disagreement arises between the Client and Service Provider regarding the quality, timeliness, or scope of work, both parties must attempt to resolve the issue amicably. If necessary, Caverly Digital Marketplace may step in as a neutral party to mediate the dispute. Caverly Digital Marketplace's decision will be final and binding.
5. Intellectual Property and Ownership
Unless otherwise agreed upon, intellectual property rights for any work delivered by the Service Provider will be transferred to the Client upon receipt of full payment. The Service Provider agrees to deliver original work and not violate any third-party intellectual property rights.
6. Confidentiality
Both Clients and Service Providers agree to maintain the confidentiality of any sensitive information exchanged during the course of the project. Neither party will disclose proprietary or confidential information to third parties without prior written consent.
7. Termination
Either the Client or Service Provider may terminate the agreement before the project is completed, provided reasonable notice is given. In the event of termination:
8. Limitation of Liability
Caverly Digital Marketplace acts solely as a facilitator between Clients and Service Providers and is not responsible for the quality, completion, or outcome of any services rendered. Any claims or liabilities arising from the hire agreement are strictly between the Client and Service Provider.
9. Indemnification
Both Clients and Service Providers agree to indemnify and hold Caverly Digital Marketplace harmless from any claims, liabilities, or damages arising from the hiring arrangement or services rendered.
10. Governing Law
These Any-Hire Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction]. Any disputes arising from these Terms or the hiring process will be subject to the exclusive jurisdiction of the courts in [Your Jurisdiction].
11. Modifications to Terms
Caverly Digital Marketplace reserves the right to modify or update these Any-Hire Terms at any time. Any changes will be posted on this page, and continued use of the hiring services indicates your acceptance of the updated terms.
